COTTON GINNERS ASSOCIATION
ASSOCIATE
MEMBERSHIP AGREEMENT
The undersigned hereby applies
for and/or accepts associate membership in the California Cotton Ginners'
Association, a California nonprofit corporation. The undersigned approves and
agrees to observe and be bound by the Articles of Incorporation and the
Bylaws, rules and regulations of the Association now or hereafter in effect,
and the undersigned further acknowledges his/its understanding that as an
associate member, the undersigned shall have no voting rights in the
Association and the undersigned further acknowledges his/its awareness that as
an associate member the undersigned shall not be eligible to serve as a
Director or officer of the Association.
It is understood and agreed
that the Association is a corporation organized under the laws of the State of
California, and that by executing this agreement, the undersigned member is
not and shall not be responsible in any way for any of the debts or
obligations of the Association.
It is further understood and
agreed that by executing this Agreement, the undersigned shall not engage in
any conduct contrary or detrimental to the policies of the Association or in
any way detrimental to the best interests and avowed purposes of the
Association or reference to the membership of the undersigned for purposes of
promoting the products or services of the undersigned nor shall the
undersigned solicit the endorsement of the Association as to any product,
service or business purpose of the undersigned. The undersigned further
acknowledges his/its awareness of the declared policy of the Association to
the effect that the Association will not engage in any activities prohibited
by law. The undersigned shall not utilize the name of the Association in order
to promote any political cause endorsed by the undersigned nor in any way
utilize the name of the Association in a manner not specifically authorized by
the Board of Directors. The undersigned further acknowledges his/its awareness
that a violation of any of the foregoing conditions shall subject the
undersigned to immediate expulsion in accordance with the provisions of the
Bylaws.
A copy of the Articles of
Incorporation and the Bylaws of the Association will be made available to any
associate member and/or candidate for associate membership upon request made
in writing to the Association office: 1785 N. Fine Avenue, Fresno, CA 93727-1616
